2. Data Delays: Market data may be delayed by 15 minutes or more depending on the source and your subscription level. Real-time data, where available, may still experience technical delays.
3. Third-Party Dependencies: We rely on third-party data providers and are not responsible for errors, omissions, or interruptions in their data feeds.
4. Historical Data: Historical data and backtesting results do not guarantee future performance. Past performance is not indicative of future results.
5. Beta Features: Certain features may be designated as "beta" or "experimental" and may be less reliable or contain more errors than generally available features.

You may authorize us to connect with certain third-party services (including, for example, data providers, AI services such as OpenAI and Anthropic, analytics providers, and other financial data aggregators) ("Third-Party Services"). We are not responsible for the operation of any Third-Party Service, nor the availability or operation of the Services to the extent such availability and operation is dependent upon Third-Party Services. We do not make any representations or warranties with respect to Third-Party Services or any third-party providers.
When you access Third-Party Services, you accept that there are risks in doing so, and that we are not responsible for such risks. We encourage you to read the terms and conditions and privacy policy of each Third-Party Service you connect to from the Services.
We have no control over, and assume no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any Third-Party Service. In addition, we will not and cannot verify, censor or edit the content of any Third-Party Service. By using the Services, you hereby release, indemnify and hold us harmless from all liability arising from your use of any Third-Party Service.
General Terms of Use
You represent and warrant that you are an individual of legal age to form a binding contract (or if not, you've received your parent's or guardian's permission to use the Services and gotten your parent or guardian to agree to these Terms on your behalf).
You will only use the Services for your own personal use for research, education, and informational purposes, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you. - Violates any law or regulation, including any applicable securities laws, export control laws, or data protection regulations;
- Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
- Jeopardizes the security of your account or anyone else's (such as allowing someone else to log in to the Services as you);
- Attempts, in any manner, to obtain the password, account, or other security information from any other user;
- Runs Maillist, Listserv, any form of auto-responder or "spam" on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services;
- "Crawls," "scrapes," or "spiders" any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);
- Uses any automated system, including without limitation "robots," "spiders," or "offline readers," to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period of time;
- Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services;
- Attempts to manipulate, circumvent, or bypass any access controls, rate limits, or usage restrictions;
- Redistributes, republishes, or resells any data, content, or information obtained from the Services;
- Creates derivative databases or datasets from data obtained through the Services;
- Uses the Services to provide investment advice or recommendations to others without proper licensing and registration with applicable regulatory authorities;
- Misrepresents your affiliation with any person or entity;
- Interferes with or disrupts the Services or servers or networks connected to the Services; or
- Violates any requirements, procedures, policies or regulations of networks connected to the Services.
Important: A violation of any of the foregoing is grounds for immediate termination of your right to use or access the Services.
Fees and Payment
Subscription Plans
On the registration or subscription page, you may select your desired subscription tier and payment terms for the Services. You hereby agree to make the corresponding payments in accordance with the fees and payment terms that correspond with your selection of Services and subscription level.
Free Trials
If you select a free trial option via a promotion code or when otherwise made available, you agree that after the free trial period expires, your access to the Services may be terminated or you may be automatically enrolled in a paid subscription according to the terms present at the time of your registration. You may cancel before the end of the trial period to avoid charges.
Automatic Renewal
Unless you cancel your subscription before the end of the current subscription period, your subscription will automatically renew for successive periods of the same duration at the then-current subscription rate. You authorize us to charge your payment method for the renewal term. You may cancel automatic renewal at any time through your account settings or by contacting us at legal@theactivistinstitute.com.
Payment Terms
You shall provide us with valid and updated payment information. You authorize us to charge such payment method for all Services selected during registration for the initial subscription term and any corresponding renewal subscription term(s). Such charges shall be made in advance, either monthly, annually, or in accordance with any different billing frequency stated on the subscription page.
Price Changes
We reserve the right to modify the fees for the Services at any time, but we will provide you with advance notice. Any increase in charges for the same Services would not apply until the expiration of your then-current subscription period, unless otherwise specifically provided in our notice to you. If you do not agree to pay the new fees, you may cancel your subscription before the price change goes into effect.
Taxes
You are responsible for all applicable taxes, including sales, use, and value-added taxes. Fees under these Terms are exclusive of all such taxes. You agree to pay such taxes (excluding US taxes based on our net income) unless you have provided us with a valid exemption certificate.
Refund Policy
All fees are non-refundable, except:
- In the case where we terminate your access to the Services without cause, in which case a prorated refund for the unused portion of the then-current subscription term may be issued; or
- As otherwise required by applicable law.
Non-Payment
Unpaid fees are subject to a finance charge of one and half percent (1.5%) per month, or the maximum permitted by law, whichever is lower, plus all expenses of collection, including reasonable attorneys' fees. We may suspend or terminate your access to the Services for non-payment.
Intellectual Property Rights
What We Own
The Services, including all content, features, functionality, software, designs, text, graphics, logos, icons, images, audio clips, data compilations, and the selection and arrangement thereof (collectively, "Service Content"), are owned by The Activist Institute, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You will not:

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include but are not limited to:
- Violation of these Terms;
- Suspected fraudulent, abusive, or illegal activity;
- Extended periods of inactivity;
- Requests by law enforcement or government agencies;

Effects of Termination
Upon termination:

Dispute Resolution
Informal Resolution
Before filing a claim, you agree to contact us at legal@theactivistinstitute.com and attempt to resolve the dispute informally. We'll attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or we may bring a formal proceeding.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Jurisdiction and Venue
You and we agree that any judicial proceeding to resolve claims relating to these Terms or the Services will be brought exclusively in the federal or state courts located in New York County, New York. Both you and we consent to venue and personal jurisdiction in such courts.
Limitation on Time to File Claims
Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.
Class Action Waiver
You and we agree that each may bring claims against the other only in your or our individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Unless both you and we agree otherwise, the arbitrator or court may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
General Provisions
Assignment
You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without our prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.

Entire Agreement
These Terms, together with our Privacy Policy, constitute the complete and exclusive statement of the agreement between you and us regarding the Services and supersede all prior agreements, communications, and understandings relating to the subject matter hereof.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
No Waiver

Taxes
You are responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services.
Relationship of Parties
You and we are independent contractors. These Terms do not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and us. You have no authority to make or accept any offers or representations on our behalf.
Third-Party Beneficiaries
These Terms do not and are not intended to confer any rights or remedies upon any person other than you and us.
Export Controls
You agree to comply with all applicable export and re-export control laws and regulations in your use of the Services.
U.S. Government Rights
If you are a U.S. government entity, the Services are "Commercial Items" as that term is defined at 48 C.F.R. §2.101, and rights in the Services are as specified in these Terms.
Equitable Relief
